AREX Capital Management bought 178,667 shares from Jan. 24 through Jan. 28 at prices ranging from $10.64 to $11.12. AREX now holds 2,505,292 shares, equal to a 9.1% interest in Fiesta Restaurant Group. On Feb. 5, AREX and Fiesta entered into a cooperation agreement in which Fiesta expanded the size of its board by one seat to allow for the appointment of AREX founder Andrew Rechtschaffen as a director. As part of the agreement, the new board will convene to see “if it is in the best interests of [Fiesta] and its stockholders to form a committee…to evaluate [Fiesta’s] strategy for unlocking the value of its brands, which such committee Mr. Rechtschaffen will be eligible to serve on.”

The remaining shares resulted from the conversion of pre-IPO convertible preferred securities into common stock immediately upon the offering’s close. Bain Capital Life Sciences now owns approximately 10.5% of Arcutis’ outstanding stock.
