Egg Wholesaler Sues De Facto Directors Over Merger

By Silvia Martelli (September 6, 2022, 7:20 PM BST) — Two leading U.K. egg sellers have accused their former directors of conspiring against them by secretly maintaining a close relationship with Noble Foods even after U.K. competition authorities had stepped in to thwart a proposed merger of the companies.

In a newly public claim filed at the High Court on Aug. 15, two Stonegate Food Group Ltd. units accused their former de facto directors of acting dishonestly and breaching their duties by evading the competition watchdog’s request to stop the merger with another food company.
